			<content:encoded><![CDATA[<p>The mountains are white, and the first dusting of snow will soon be hitting the ground in downtown. You know what that means: it’s time to make plans concerning snow removal.</p>
<p>Together with the property and business owners, Anchorage Downtown Partnership, Ltd. (ADP) will be proactive and flexible in assisting to keep the 25 miles of sidewalk in the Downtown Improvement District (DID) free of snow and ice. That being said, please remember snow removal takes time. I encourage everyone to be patient and flexible. As you remember, together we moved a lot of snow last year – this year we will be stepping up our efforts even more.</p>
<p>Jeff Robinson, our Maintenance Supervisor, and his crew will be working in conjunction with you to have the snow removed from sidewalks, and with the Municipality to haul it from Downtown streets as promptly as possible. Please call Jeff at 277-2078 or 529-2560, if you have questions or concerns, if he’s not in, please leave a message. </p>
<p>ADP is constantly seeking out the best way to provide services. Part of the solution to this challenge is cooperation and communication. Communication is crucial to our success. <h2>SNOW MAPS</h2>
<p>We have prepared maps to show you where you can expect to see our equipment &#8211; and when &#8211; during our snow removal work. The maps are broken up according to the piece of equipment. Some equipment routes overlap with other equipment routes, but for the most part we have developed the most efficient snow removal system we can.</p>
<p>Our snow removal teams complete their work in two 3.5 hour shifts. If it snows in the evening, our team will be on the streets at 5:00am completing our first pass as most businesses are opening and workers are arriving. Our second pass also takes 3.5+ hours and covers the secondary streets and areas that need extrat attention.</p>

Dropping cigarette butts to the ground, putting them in planters, and disposing of them in waterways is littering.</p>
<p>Why do smokers litter?  Mostly, it’s lack of awareness about the environmental impact and insufficient ash receptacles.  New ordinances are also moving more smokers outdoors or to designated areas.</p>
<p>Cigarette butts are unsightly, costly to clean up, and harmful to waterways and wildlife.  Get the <a href="http://preventcigarettelitter.org/index.html">facts</a>.</p>
<p>Anchorage Downtown Partnership, Ltd. recently received a federal grant from Keep America Beautiful Inc. to help raise awareness that cigarette butts are litter too.<br />

This program recognizes visitors for extending their stays in Anchorage and encourages them to experience more of what the city offers through upgrades, discounts, or special offers at participating businesses. The program provides hotel reservation staff an additional tool to encourage visitors to book an extra night in Anchorage.</p>
<p>Visitors obtain the Gold Card when they check into their hotel or bed and breakfast if staying two or more nights. The card, which is one-by-two inches in size, features the 50th Anniversary of Statehood logo on one side and the ACVB logo on a shiny gold background on the other. Visitors show the card to participating businesses, which may display a decal in the window or at the point-of-sale.</p>
<p>Offers vary from business to business. The Anchorage Museum is highlighting its “Gold” exhibit with a free gift to Gold Card holders in the museum’s “Gold” shop, the Downtown Bicycle Rental is offering a special discount on its Alaska Statehood Anniversary bicycle jersey, and the Flattop Shuttle is providing complimentary ice cream and bottled water for Gold Card holders on its $22 shuttle to Flattop. Gold Card offers, which continue to be added to daily, are available at <a href="http://www.Anchorage.net/gold">www.Anchorage.net/gold</a>.</p>
<p>Visiting friends and relatives can also take part in the Gold Card program, even if they are not staying at a hotel, by stopping by the Log Cabin Visitor Information Center at the corner of Fourth Avenue and F Street to pick up a card.</p>

			<content:encoded><![CDATA[<h3>Number, Tenure and Qualifications</h3>
<p>The number of Directors on the Board shall be not less than three (3) nor more than thirtyfive (35). The number of Directors shall be fixed from time to time by the Board of Directors and the number so fixed shall comprise the entire Board of Directors. The term of office shall not exceed two years, except that each Director shall hold office until his/her successor shall have been duly qualified and elected, or until his/her death, or until he/she shall resign from the Board. Directors’ terms begin at the close of the Annual Meeting in which they are elected, or if appointed, with the acceptance of their appointment.</p>
<p> Any voting member, or its individual representative when the member is not a natural person, is eligible to seek election to any Directorship for which his, her or its membership categories may qualify. The Board of Directors shall, when fixing the number of Directors, designate each elected Directorship as one to be filled by the election of a member qualifying in one of the following categories:<br />
	<strong>a. Downtown Property Owner<br />
	b. Downtown Resident<br />
	c. Downtown Business<br />
	d. Public Agency <br />
	e. Professional Service Provider<br />
	f. At-large</strong></p>
<p> Each of the above categories of membership shall have not less than one Directorship designated as its representative. To the extent feasible, the Board shall strive to create elected Directorships that represent the following membership categories:</p>
<p> <strong>a. Downtown Property Owner:</strong><br />
25% of all elected Directors</p>
<p><strong>b. Downtown Business:</strong><br />
40% of all elected Directors</p>
<p><strong>c. At-large:</strong><br />
15% of all elected Directors</p>
<p><strong>d. Downtown Resident, Public Agency &amp; Professional Service Provider:</strong><br />
20% aggregate of all elected Directors</p>
<p> Except as provided herein, Directors shall be elected annually at the regular annual meeting of the membership. Half of the Directors shall be elected in even years, and half shall be elected in odd years. If an odd number of total Directorships are created, there may be one more Directorship whose election is conducted in either even or odd years, with said election occurring in the year of creation and biennially thereafter. Any Director appointed by the President without a vote of the membership shall stand for a vote of confirmation at the next annual meeting of the membership.</p>
<p> The Directors, by resolution, may adopt procedures for the nomination of candidates for Directorships. Immediately following the annual meeting, the Secretary shall notify those persons elected Directors who may not have been present for the vote. </p>
<p> In the event of a tie vote for any directorship, lots shall be drawn to determine those who will serve as a Director, in a manner prescribed by resolution of the Board of Directors, or in the absence of any such resolution, by the President.</p>
<h3> Vacancies</h3>
<p>To the extent that vacancies may arise within the Board, the President may appoint Directors to fill those vacancies, except that no more than ten (10) Directors may serve by appointment at any one time unless they have first been confirmed by a vote of the membership.</p>
<h3> Appointed Directors</h3>
<p>The Board may designate no more than five (5) directorships as positions to be filled by appointment of the President. No appointed Director shall be appointed to more than two consecutive terms, except that an appointed Director remains eligible to serve as an elected Director. All appointed Directors shall stand for a vote of confirmation at the first meeting of the membership occurring during any term of appointment.</p>
<h3> Removal</h3>
<p>A Director may be removed for cause by a vote of two-thirds (2/3) of all Directors then in office. Such an action shall be taken at a regular meeting of the Board of Directors or at a special meeting called for such purpose, and the proposed removal shall be set forth in the notice of any such regular or special meeting, sent at least ten (10) days prior thereto. The President may remove any Director who is absent from three or more regular Board meetings within the Director&#8217;s term. Absence from a total of six regular Board meetings during a Director&#8217;s term shall be deemed to be an abandonment of the Director&#8217;s Directorship.</p>
<h3>Compensation</h3>
<p>Directors shall not receive any stated salaries for their services, but by resolution of the Board of Directors a fixed sum and expenses of attendance, if any, may be allowed for each regular or special meeting of the Board, providing that nothing herein contained shall be construed to preclude any Director from serving the Corporation in any other capacity and receiving reasonable compensation therefore.</p>
<h3>Ex-Officio Advisors</h3>
<p>The President may appoint a maximum of five (5) ex officio, non-voting advisors to the Board, whose terms shall not exceed one year each.</p>
<h3>Meetings</h3>
<p>Board meetings are open to the membership, except that the Board of Directors may convene an executive session for the discussion of personnel, litigation or other confidential matters. No vote may be taken in executive session.</p>

		<description><![CDATA[2009 Annual Elections for the Board of Directors of Anchorage Downtown Partnership, Ltd.]]></description>
			<content:encoded><![CDATA[<p>Anchorage Downtown Partnership, Ltd. held its Annual Membership Meeting at the Hotel Captain Cook on Monday, April 12, 2010. At this Annual Meeting, members cast ballots for new and renewing Directors. Those members who were unable to cast a ballot in-person had the ability to cast a proxy ballot. Proxy ballots were mailed or hand-delivered to all current members in March. There were 92 ballots cast in-person or via proxy during the 2010 Annual Elections.</p>

<p><strong>The total of ADP  voluntary members as of December 31, 2008 was 144.</strong><br />
	<strong>The total  contribution made by 144 voluntary members was $54,450.</strong></p>
<p>In 2008, Anchorage Downtown Partnership, Ltd. (ADP) welcomed  a total of 19 new voluntary members including: Alaska Backpacker&#8217;s Inn, Alaska  Guestours, Alaskan Dymeonds, Anchor Pub &amp; Club, Big Al&#8217;s Café &amp; Gifts,  Circular, Crush, Divine Divas Boutique, Ginger, Greater Anchorage Inc., Inlet  Tower Hotel &amp; Suites, McGinley&#8217;s Pub, Midnight Sun Café, Simon &amp;  Seafort&#8217;s, Urban Greens, Jim Blasingame, Sue Linford, Marc Marlow and Lottie  Michael.</p>
